ARTICLE I. Duties of the Officers
SECTION 1. The President shall preside at all regular business meetings and Executive Board meetings; shall act in the place of any other officer who is absent or otherwise unable to act; shall enforce the observance of the Constitution, By-Laws and Rules of Order of the Club and shall be charged with all other duties incidental to this office in accordance with Robert's Rules of Order. The President shall appoint any and all committees that are deemed necessary.
SECTION 2. The Vice-President shall perform all duties of the President whenever the President is absent or unable to act.
SECTION 3. The Secretary shall keep minutes of all the proceedings of regular business meetings and perform such other duties incidental to this office. The Secretary shall have charge of the correspondence of the Club. Timely notice shall be mailed to each member of regular business meetings.
SECTION 4. The Treasurer shall collect all dues of Club members and all other monies and funds which are received by the Club. The Treasurer shall make a financial report at each regular meeting. The Treasurer shall also present an annual written report to the Executive Board at its first meeting of each Club year for the previous fiscal year. The Treasurer shall be in charge of all disbursement of Club funds. The Treasurer shall obtain approval of the President for any ordinary and routine expenses not to exceed $250.00. Other expenditures shall require the approval of the Executive Board.
ARTICLE II. Election of Officers
SECTION 1. The terms of office of the officers of the South Denton County Democrats shall be for a period of two years, commencing January 1 of each odd-numbered year, unless otherwise removed in accordance with these By-Laws, which terms shall commence at the January meeting in the year of the election. Current officers elected in 2007 shall remain until the December, 2008 election.
SECTION 2. Any person seeking to be nominated for an office shall be nominated at the October or November meeting during the even-numbered years. Each nomination shall require two persons to indicate their nomination.
SECTION 3. The voting process for said officers shall take place at the December meeting in the even numbered years.
SECTION 4. A majority of votes of members in good standing who are present at the meeting shall determine the election of officers.
SECTION 6. Qualification for candidacy shall be membership in good standing, and a resident of Denton County.
ARTICLE III. Removal from Office
Failure to perform duties of the office as stated in Article I of the By-Laws or failure to regularly attend meetings of the Club can be cause for removal from office. Such a request for removal must be initiated in writing by a current officer in good standing and passed by a majority vote of the membership at the next regular business meeting after written notice of such charges are presented to the Club and officers.
ARTICLE V. Vacancies
The Executive Board shall, by a majority vote, replace any officer upon removal, resignation until the next regular scheduled business meeting, at which meeting an election shall be held to replace said officer who will serve for the balance of the unexpired term.
ARTICLE VI. Speakers at Club Meetings and Endorsements
1. Candidates running for public office shall be permitted to speak at Club meetings. However, in cases where more than one such candidate seeks to speak, that candidate who has been endorsed by the The Club shall have priority in time.
2. The Club shall be permitted to endorse City, County and State candidates and issues for primary, general and special elections. Said endorsements shall be made at a regular monthly meeting on a month to be selected by the President, said notice to be given by the President (i) to all members present at the monthly meeting prior to the monthly meeting where such endorsements are to occur or (ii) in writing to all members in good standing at least two (2) weeks prior to the monthly meeting where such endorsements are to occur. A majority of votes of members in good standing who are present at the meeting cast shall constitute a choice.
ARTICLE VII. Membership
A member in good standing shall be defined as current dues paid, when current dues shall be due each January at the beginning of the Club year.
ARTICLE VIII. Amendments
These By-Laws may be amended by a two-thirds vote of those members present and in good standing, at a regular meeting, provided notice of the amendments shall have been given at the previous regular meeting of the Club orally and in writing.
ARTICLE IX. Previous By-Laws
These by-laws supersede any and all other previous by-laws of the South Denton County Democrats and shall take effect immediately.
