THE SOUTH DENTON COUNTY DEMOCRATIC CLUB
ARTICLE I. Organization
The name of the organization shall be the South Denton County Democrats (the “Club”) and shall be known as the official Democratic club in the geography of South Denton County.
ARTICLE II. Purpose
The purposes of the Club are: To spread knowledge of the principles and functions of the Democratic Party; to encourage and foster intelligent, progressive, and patriotic leadership; and to actively support the platforms, programs, principles and candidates endorsed by the Democratic Party, Denton County, the State of Texas, and the United States of America.
ARTICLE III. Membership
Membership in the Club shall be open to all residents of Denton County in the State of Texas, who support the Constitution of the United States of America and the Constitution and By-Laws of this organization. No person may be a member or may vote on any motion, resolution, nomination or election at any meeting who does not meet the aforesaid qualifications or who is a member of any other political party at that time.
ARTICLE IV. Officers
Officers of the Club shall be President, Vice-President, Secretary, Treasurer. All members of the Club, in good standing (current dues paid) shall be eligible for Club office.
ARTICLE V. Quorum
Fifty percent (50%) attendance from the previous month’s meeting shall constitute a quorum for business meetings and for the election of officers. Only those members in good standing (current dues paid) shall be eligible to vote. Membership attendance shall be tracked in writing by the Secretary at each meeting and published in the meeting minutes available to members at the next month’s meeting.
ARTICLE VI. Executive Board
The Executive Board shall consist of the President, Vice-President, Secretary, Treasurer any other member invited by an officer as a non-voting member. The President shall be chairman of the Board. The Board may meet during the interim between regular business meetings to conduct business that requires immediate action.
ARTICLE VII. Meetings of the Club
SECTION 1. A minimum of six (6) meetings shall be held annually.
SECTION 2. The organization shall hold its regular business meetings on the first Monday of the month at 7:00 p.m.
SECTION 3. The "Club" year and the fiscal year for this organization shall be from January 1 to December 31.
ARTICLE VIII. Rules of Order
This organization shall be guided by Robert's Rules of Order on any questions of Parliamentary procedure when they are not specifically provided for in this constitution or by-laws.
ARTICLE IX. Dues
The annual membership dues shall be determined by the Executive Board subject to ratification by a majority vote of the members present at a regular meeting.
ARTICLE X. Amendments
This constitution may be amended by a two-thirds vote of those members present and in good standing, at a regular meeting, provided notice of the amendments shall have been given at the previous regular meeting of the Club orally and in writing.
ARTICLE XI. Previous Constitution and By-Laws
This constitution and by-laws supersede any and all other previous constitutions and by-laws of the South Denton County Democratic Club and shall take effect immediately upon its adoption.
ARTICLE XII. By-Laws.
The day-to-day operations and details for the election and removal of officers shall be controlled by the By-Laws of the Club. In the event of any conflict between the provisions of the By-Laws and the provisions of this Constitution, the provisions of this Constitution shall control.
